Our firm represented one of Israel’s largest banks, a member of the Tel Aviv Stock Exchange, which is also publicly traded. The bank provides credit and other financial services to major public and private companies in Israel, as well as to retail  customers, including brokerage services and investment advice. These activities and characteristics raise a series of challenging interfaces with applicable securities laws. In addition, our firm handled an intensive long-term project for the development of a comprehensive internal securities compliance program for the bank and its subsidiaries. The project included mapping of relevant provisions of securities laws and conducting in-depth examinations with the bank’s management, professional and legal divisions, in order to determine all pertinent issues. Our firm presented its findings and recommendations and assisted in their implementation, with the purpose of ensuring the establishment of an effective internal compliance program for the bank and its subsidiaries. Our firm regularly advises the bank in areas of capital markets, companies law, securities law and financial services regulation.
